These Terms of Service ("Terms") are a legal agreement between you and Trazo Ventures LLC ("Trazo Ventures," "TREX," "we," "us," or "our") governing your use of the TREX: Split Bills & Expenses mobile application, the TREX website, and related services (collectively, the "Service"). Please read them carefully.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction), have read and understood these Terms, and agree to be legally bound by them. If you do not agree to these Terms, do not use the Service.
2. Description of the Service
TREX helps people keep track of shared expenses. With TREX you can:
- Record expenses and split them evenly, by percentage, or by exact amounts
- Create groups and add friends, roommates, partners, and travel companions
- See up-to-date balances showing who owes whom
- Send payment requests and reminders to the people you split with
- Record payments as they happen, so every balance stays current
- Scan receipts and use other features included with TREX Premium
Important: TREX is a tool for tracking and organizing shared costs. It is not a bank, payment processor, or money transmitter, and it does not move money. See Section 3.
3. Settling Up and Payment Requests
3.1 Payments Happen Outside TREX
TREX does not send, receive, hold, or transfer funds, and it does not connect to your bank, card, or payment accounts. You and the people you split with pay each other directly, using whatever method you choose, such as cash, a card, a bank transfer, or a payment app. Your use of any payment method is governed by that provider's own terms, and Trazo Ventures is not a party to any payment between users.
3.2 Recorded Payments
When a payment is marked as paid in TREX, it reflects what a user has recorded. TREX does not verify that any payment was made, received, or completed.
3.3 Payment Requests and Text Messages
When you request money from someone who uses TREX, we notify them in the app. For people who don’t use TREX, the app writes a text message for you and opens your phone’s messaging app; you review and send it yourself, from your own phone and number. By sending a request, you confirm that:
- You know the person, and the request relates to a genuine shared expense between you
- You are entitled to share their phone number with us for this purpose
- You will not use requests to harass, pressure, or mislead anyone
You are responsible for the messages you send, and your mobile carrier’s message and data rates may apply. We may limit or disable payment requests to protect recipients or prevent abuse. If TREX begins sending text messages directly in the future, we will update these Terms first, and recipients will be able to opt out.
3.4 Accuracy of Balances
Balances are calculated from the information users enter, including data read from receipt images, which may contain errors. You are responsible for reviewing expenses, splits, and balances before relying on them. TREX's suggestions for settling up, including the fewest payments needed to clear a group's balances, are calculations based on that information.
3.5 Disputes Between Users
Any disagreement about what is owed, whether a payment was made, or how an expense was split is between the users involved. Trazo Ventures is not responsible for resolving these disputes or for any amounts owed between users.
3.6 No Financial Advice
Nothing in the Service is financial, tax, accounting, or legal advice.
4. TREX Premium, Billing, and Referrals
4.1 Plans
TREX is free to use. TREX Premium is an optional subscription that adds features, such as unlimited receipt scanning, recurring expenses, and unlimited groups. Premium features also extend to other people in two ways: (a) when the owner of a group has Premium, every member of that group gets Premium features within that group (for example, unlimited receipt scanning into that group’s expenses, but not outside it); and (b) certain features, such as automatic currency conversion, apply to everyone on a split that includes a Premium member. The app shows which features are shared and where. We may change the features included in each plan from time to time, with reasonable notice for material changes.
4.2 Billing and Payment
TREX Premium is purchased through the Apple App Store or Google Play and billed by them on a recurring basis (monthly or yearly) until you cancel. By subscribing, you authorize these recurring charges. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period.
4.3 Free Trials and Promotions
If we offer a free trial or promotional period, it will convert to a paid subscription at the end of the period unless you cancel beforehand, as described at the time of the offer.
4.4 Cancellation and Refunds
You can cancel your subscription at any time in your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period. Refunds are handled by Apple or Google under their policies; we do not provide pro-rated refunds except where required by law.
4.5 Price Changes
We will give you at least 30 days' notice before changing the price of your subscription. The new price applies from your next renewal after the notice period. If you do not agree to the new price, you can cancel before it takes effect.
4.6 Referral Rewards
From time to time we may offer rewards for inviting friends to TREX, such as a free month of Premium when three people you invite join. Rewards have no cash value, cannot be transferred or exchanged, and are subject to any eligibility rules shown in the app. We may withhold or revoke rewards obtained through fake accounts, self-referrals, or other abuse, and we may change or end the referral program at any time.
5. Account Registration and Security
You must provide accurate information when you create an account and keep it up to date. You are responsible for keeping your login credentials and verification codes confidential and for all activity under your account. If you believe someone has accessed your account without permission, contact us immediately at support@trazoventures.com.
6. Your Content
6.1 Your Content
You keep ownership of the expenses, receipts, photos, notes, and other content you add to TREX ("Your Content"). You grant Trazo Ventures a non-exclusive, worldwide, royalty-free license to host, store, process, display, and share Your Content solely to operate, provide, and improve the Service, including showing it to the members of your groups.
6.2 Information About Others
When you add someone to an expense or group, or send them a request, you confirm that you are entitled to share their name and contact details with us for that purpose, as described in our Privacy Policy.
6.3 Content Standards
You may not add content that is unlawful, defamatory, harassing, fraudulent, or infringing, or that violates anyone's privacy or other rights.
6.4 Content Removal
We may remove or restrict content that we reasonably believe violates these Terms or harms the Service or other users.
6.5 Feedback
If you send us ideas or suggestions about TREX, we may use them without any obligation to you.
7. Acceptable Use
You agree to use the Service only for lawful purposes and in line with these Terms. You may not:
- Use TREX to record false debts, pressure people into payments they do not owe, or defraud anyone
- Send payment requests to people you do not know, or use requests to send spam, advertising, or unwanted messages
- Create fake accounts or abuse the referral program
- Attempt to gain unauthorized access to the Service, other users' accounts, or our systems
- Use bots, scripts, or scraping tools to access the Service
- Reverse engineer, decompile, or copy the app, except as permitted by law
- Interfere with or disrupt the integrity or performance of the Service
- Impersonate any person or misrepresent your relationship with anyone
8. Third-Party Services
The Service may link to or work alongside third-party services, such as the Apple App Store, Google Play, mobile carriers, and the payment apps you use to pay each other ("Third-Party Services"). We do not control or endorse Third-Party Services and are not responsible for them. Your use of any Third-Party Service is governed solely by that service's own terms and policies.
9. Intellectual Property
The Service and its content, features, and functionality, including the TREX name, logo, mascot, and artwork, the Trazo Ventures name and logo, text, graphics, interface design, and software, are owned by Trazo Ventures LLC or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the app for your personal, non-commercial use under these Terms. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRAZO VENTURES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY OF ANY EXPENSE, BALANCE, CALCULATION, RECEIPT SCAN, OR PAYMENT STATUS SHOWN IN THE SERVICE
Trazo Ventures does not guarantee that any amount recorded in TREX will be paid, or that any payment recorded in TREX was made.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRAZO VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY AMOUNTS OWED OR PAID BETWEEN USERS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
13. Indemnification
You agree to defend, indemnify, and hold harmless Trazo Ventures LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) Your Content; (c) payment requests you send; (d) any dispute between you and another user; (e) your violation of these Terms; or (f) your violation of any rights of a third party.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
14.2 Informal Resolution
Before filing any formal dispute, you agree to contact us at support@trazoventures.com and attempt to resolve the dispute informally. We will attempt to resolve the matter within 30 days of receiving your notice.
14.3 Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, conducted in New York, New York. You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration.
14.4 Exceptions
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights, and either party may bring an individual claim in small claims court if it qualifies.
15. Termination
You can stop using TREX and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms. Deleting your account does not cancel an app store subscription; cancel it in your App Store or Google Play settings.
Sections that by their nature should survive termination, including Sections 3, 6, 9, 11, 12, 13, and 14, will survive any termination of these Terms.
16. Modifications to Terms
We may modify these Terms at any time. When we make material changes, we will update the "Last Updated" date above and notify you by email or in the app before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trazo Ventures regarding the Service and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
17.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
17.5 App Store Terms
If you downloaded TREX from the Apple App Store, you acknowledge that these Terms are between you and Trazo Ventures only, not Apple, and that Apple has no obligation to provide maintenance or support for the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
